Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and the operator of the Stix mobile application (“Stix,” “we,” “us,” or “our”). By creating an account, checking the acceptance box, or otherwise using Stix, you agree to these Terms. If you do not agree, do not use the app.

1. The Service

Stix is a golf performance and league management platform. Features may include round tracking, scoring, shot and GPS-related tools, performance analytics, league or event tools, and related content. Features may change, be added, limited, or removed at any time as we develop the product.

You must be able to form a binding contract in your jurisdiction to use Stix. If you use Stix on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration & Acceptance

You agree to provide accurate account information and keep it updated. You are responsible for activity under your account and for keeping your login credentials secure.

Clickwrap acceptance. These Terms are presented during account creation. You must actively accept them (for example, by checking a box) before using Stix. That acceptance is your electronic signature and agreement to these Terms.

3. Intellectual Property & Ownership

Stix and its licensors own all right, title, and interest in and to:

• the Stix application and all versions of it;
• the codebase, software, algorithms, designs, UI/UX, databases, and architecture;
• branding, names, logos, trademarks, and trade dress;
• features, workflows, documentation, and related materials; and
• all associated intellectual property and proprietary rights worldwide.

Nothing in these Terms transfers any ownership of Stix to you. We grant you a limited, personal, non-exclusive, non-transferable, revocable license to use Stix solely for your lawful personal or permitted organizational use, subject to these Terms. You may not copy, modify, reverse engineer, redistribute, sell, lease, or create derivative works of Stix except as allowed by law that cannot be waived.

4. Beta Testing, Feedback & No Ownership From Suggestions

Stix may be offered in beta or early-access form, including free or discounted access to various beta testing groups, organizations, and informal advisors.

Voluntary feedback. Any feedback, ideas, feature requests, bug reports, reviews, suggestions, advisory input, or similar communications you provide (“Feedback”) is entirely voluntary. You are not required to provide Feedback to use Stix (unless a separate written agreement says otherwise).

No equity, pay, or IP claims from Feedback. By providing Feedback, you agree that:

• Feedback does not give you any equity, ownership, partnership, employment, contractor status, or other interest in Stix or its operator;
• Feedback does not create any intellectual property rights for you in Stix, its codebase, branding, features, or future improvements;
• Feedback does not entitle you to any payment, royalty, credit, attribution, or other compensation, unless we expressly agree in a separate signed writing; and
• You grant Stix a perpetual, irrevocable, worldwide, royalty-free, fully paid, sublicensable, transferable license to use, reproduce, modify, distribute, commercialize, and otherwise exploit Feedback for any purpose, including improving Stix, without obligation to you.

5. Your Content

You retain ownership of content you submit that is yours under law (for example, scores you enter, profile information, or photos you upload), subject to the licenses below and Section 4 for Feedback.

You grant Stix a worldwide, non-exclusive, royalty-free license to host, store, process, display, and use your content as needed to operate, secure, improve, and support Stix and related services.

You represent that you have the rights needed to submit your content and that it does not violate law or others’ rights.

6. Acceptable Use

You agree not to:

• misuse Stix, interfere with its operation, or attempt unauthorized access;
• scrape, harvest, or bulk-extract data except as we expressly allow;
• upload malware or harmful code;
• harass, threaten, defraud, or impersonate others;
• use Stix for unlawful activity, including illegal gambling where prohibited;
• reverse engineer or circumvent security or access controls; or
• use Stix in any way that harms other users, leagues, or the integrity of scoring or competition features.

7. Leagues, Scoring, Wagers & Disputes Between Users

Stix may help you track league play, scores, handicaps, and informal golf wagers or side games. Stix is a technology tool, not a referee, escrow agent, bank, or gambling operator. You are solely responsible for the accuracy of scores, complying with laws regarding any wagers, resolving disputes with other players, and any agreements you make outside Stix. We are not responsible for disagreements about scores, standings, handicaps, payouts, or social/competitive outcomes among users.

8. “As Is” / “As Available” — No Warranty

Stix is actively in development and may be unstable, incomplete, or change without notice. To the maximum extent permitted by law, Stix is provided “AS IS” and “AS AVAILABLE,” without warranties of any kind. We do not warrant that Stix will be uninterrupted, secure, or error-free, or that data will never be lost.

9. Limitation of Liability

To the maximum extent permitted by law, Stix and its operators will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, data, goodwill, or business opportunities, arising out of your use of Stix. Our total liability for any claim relating to Stix or these Terms will not exceed the greater of (a) the amounts you paid us for Stix in the 12 months before the claim, or (b) USD $50.

10. Suspension & Termination

We may suspend, restrict, revoke, or terminate your access or account at any time, for any reason or no reason, with or without notice. You may stop using Stix at any time.

11. Privacy

Our collection and use of personal information is described in our Privacy Policy. By using Stix, you also acknowledge that policy.

12. Changes to These Terms

We may update these Terms from time to time. Continued use after changes become effective means you accept the updated Terms.

13. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Courts located in Toronto, Ontario will have exclusive jurisdiction over disputes, except where prohibited by law.
